Cal360 Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Cal360 mobile application (the "App") and related services, features, and content (collectively, the "Services"). The Services are provided by eMeals, Inc. ("eMeals," "Cal360," "we," "us," or "our").

By downloading, accessing, or using the Services, you agree to these Terms and our Privacy Policy (incorporated by reference). If you do not agree, do not use the Services.


1) Eligibility (18+ Only)

The Services are intended for individuals 18 years of age or older. By using the Services, you represent and warrant that you are at least 18 and have the legal capacity to enter into these Terms.


2) Changes to the Services or Terms

We may modify the Services and/or these Terms from time to time. If we make material changes, we may provide notice (e.g., in-app). Your continued use after changes become effective means you accept the revised Terms.


3) Accounts and Security

You may need an account to use certain features. You agree to:

  • provide accurate, current information,
  • maintain the confidentiality of your credentials, and
  • notify us promptly of any unauthorized access or use.

You are responsible for activity under your account.


4) Subscriptions, Billing, and Refunds (Apple App Store)

Cal360 may offer free and paid features, including subscriptions. If you purchase a subscription or in-app purchase through the Apple App Store:

  • Apple processes payments and manages billing and renewal.
  • Subscriptions auto-renew unless canceled at least 24 hours before the end of the current period.
  • You can manage or cancel subscriptions in your Apple ID subscription settings.
  • Refunds are handled by Apple under Apple's refund policies and processes (not by Cal360).

We may change subscription options and pricing where permitted, and will provide notice where required.


5) Health and Nutrition Disclaimers (Not Medical Advice)

Cal360 provides meal inspiration, calorie and macro targets, and nutrition-related insights for informational purposes only.

  • No medical advice. The Services do not provide medical, clinical, or professional advice and are not intended to diagnose, treat, cure, or prevent any disease.
  • Accuracy limitations. Calorie estimates, macro targets, and nutrition information may be inaccurate, incomplete, or not appropriate for your personal needs.
  • You are responsible. You are solely responsible for decisions you make based on the Services.
  • Consult a professional. Always seek the advice of a qualified healthcare provider before making diet or lifestyle changes, especially if you have a medical condition, are pregnant or nursing, or take medications.
  • Do not delay care. Do not disregard or delay seeking professional advice because of information from the Services.

Safety / eating-disorder note: The Services are not designed to support disordered eating behaviors or unsafe weight-control practices. If Cal360 is not appropriate for you, do not use it and seek professional help.


6) AI Features and Output Disclaimer

Cal360 may use AI to power features such as food identification, meal suggestions, and nutrition estimates.

You understand and agree:

  • AI outputs may contain errors, omissions, or misleading information.
  • You should not rely on AI outputs as medical advice.
  • You remain responsible for verifying information and for your health and dietary decisions.

7) User Content, Privacy, and AI Model Training

7.1 User Content

"User Content" includes information you submit through the Services, such as food logs, text entries, photos of meals, and related metadata.

7.2 Ownership

You retain any ownership rights you have in your User Content.

7.3 License to eMeals (Operating + Improving + Training)

You grant eMeals a worldwide, royalty-free, transferable, sublicensable license to:

  • host, store, reproduce, process, modify, adapt, and create derivative works from your User Content,
  • operate, maintain, and improve the Services, and
  • develop and train AI models and related technology (including long-term model improvement).

This license is limited to the purposes described above and as further described in our Privacy Policy.

7.4 Private by Default

Cal360 is designed so that User Content is private by default (i.e., not publicly posted inside the app). However, we may use User Content internally and with service providers to deliver, maintain, secure, analyze, and improve the Services, including AI training.

7.5 Your Responsibilities

You represent and warrant that you have all rights necessary to provide User Content and that it does not violate any law or infringe any third-party rights.


8) Acceptable Use

You agree not to:

  • reverse engineer, decompile, or attempt to extract source code from the App,
  • bypass or circumvent security or access controls,
  • scrape, crawl, or use automated means to access the Services in a way that burdens or disrupts the Services,
  • upload unlawful, harmful, infringing, or privacy-violating content,
  • interfere with or disrupt the Services, servers, or networks.

We may suspend or terminate accounts that violate these Terms.


9) Intellectual Property

Except for User Content, the Services and all related content and intellectual property are owned by eMeals or its licensors and are protected by law. Subject to these Terms, eMeals grants you a limited, non-exclusive, non-transferable, revocable license to use the Services for personal, non-commercial purposes.


10) Third-Party Services; Analytics and Advertising

The Services may use or integrate with third-party services (e.g., attribution, analytics, advertising, and measurement providers). These third parties may have their own terms and privacy practices.

Cal360 may use providers such as Appsflyer, Segment, Amplitude, Meta (Facebook/Instagram), TikTok, and Apple Search Ads, as well as influencer marketing tools and partners.

Your use of the Services may require internet access and may result in carrier data charges.


11) Apple App Store Terms

These Terms are between you and eMeals, not Apple. Apple is not responsible for the Services and has no obligation to provide support.

To the extent Apple is required to provide a warranty under applicable law, Apple's responsibility is limited as permitted by law.

Apple and its subsidiaries are third-party beneficiaries of these Terms for purposes of enforcing them as related to your use of the App.


12) Termination

We may suspend or terminate your access to the Services at any time if you violate these Terms or if we discontinue the Services. Upon termination, your right to use the Services stops immediately.


13) Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.


14) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • EMEALS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, USE, OR GOODWILL.
  • EMEALS' TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF:
  1. THE AMOUNT YOU PAID FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
  2. $100 USD.

Some jurisdictions do not allow certain limitations; in those jurisdictions, liability will be limited to the maximum extent permitted by law.


15) Indemnification

You agree to indemnify, defend, and hold harmless eMeals and its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • your use of the Services,
  • your User Content, or
  • your violation of these Terms.

16) Dispute Resolution; Binding Arbitration; Class Action Waiver

16.1 Informal Notice First

Before filing a claim, you agree to notify eMeals of the dispute and attempt to resolve it informally. You can send notice to the address in Section 19.

16.2 Binding Arbitration

Except for small claims matters, you and eMeals agree that any dispute or claim arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its applicable consumer rules.

16.3 Class Action Waiver

YOU AND EMEALS AGREE THAT DISPUTES WILL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

16.4 Small Claims

Either party may bring a claim in small claims court if it qualifies.

16.5 Time Limit to Bring Claims

ANY CLAIM MUST BE BROUGHT WITHIN ONE (1) YEAR AFTER THE CLAIM ACCRUES OR IT IS PERMANENTLY BARRED, UNLESS APPLICABLE LAW REQUIRES A LONGER PERIOD.


17) Governing Law

These Terms are governed by the laws of the State of Alabama, without regard to conflict of laws principles, except where federal law applies.


18) Miscellaneous

  • Severability: If any provision is found unenforceable, the remainder will remain in effect.
  • Assignment: We may assign these Terms; you may not assign without our consent.
  • No waiver: Failure to enforce a provision is not a waiver of our right to do so later.
  • Entire agreement: These Terms (and the Privacy Policy) are the entire agreement between you and eMeals regarding the Services.
